For over 15 years, our Business Law Group has provided advice to US and Mexico clients in a full spectrum of domestic and cross-border business and corporate matters, including mergers and acquisitions, corporate finance, corporate governance, restructurings and almost every type of commercial transactions. Our Real Estate Group provides a complete range of services in the Mexico and California real estate industry for our investor and developer clients. This Group assists in property acquisition, development, financing, operation, debt restructure and disposition for all types of real property, in collaboration with our Business Law and Global Practice groups. In collaboration with our Business Law and Global Practice groups, we provide, among others the following services:

International Law

Mexico, U.S. and International

Our Global Group, which includes attorneys licensed in the U.S. and Mexico, provides corporate advice and counsel to both Mexico and foreign-based clients, helping them determine how best structure their investments and do business in Mexico and in the U.S. We also provide clients with an in-depth understanding of relevant jurisdictional matters and conflict-of-laws authorities.

Securities and Private Equity

Mexico and U.S.

Our Securities and Private Equity Group advises clients on the full range of public and private financings. Our experience encompasses all combinations of debt and equity instruments through the use of Mexican, U.S. and Canadian vehicles. We have been actively involved in the design and implementation of sophisticated legal structures for financing projects and investment vehicles in Mexico, Canada and the United States; have participated in the design and formation of many of the first Mexican private equity funds, including those involving investments from Mexican pension funds (AFOREs) through Development Capital Certificates (CKDs) and IPOs; and have participated in various working groups aimed at proposing legal and regulatory amendments, some of which have ultimately resulted in the existence of Mexican investment vehicles such as the Infrastructure and Real Estate Investment Trusts (FIBRAs), Private Equity Trusts (FICARs) and in the possibility of investments from AFOREs in private equity and development projects through CKDs and IPOs.
